Terms & Conditions
These terms apply to all quotes, proposals, and service agreements issued by Rad Lemon. By accepting a quote or making payment, the client agrees to these terms.

Acceptance of Quote
A quote is valid for 14 days from the date of issue. Acceptance is confirmed by written approval (email is sufficient) or by payment of the required deposit. Rad Lemon reserves the right to withdraw a quote prior to acceptance.

Payment Terms
Unless otherwise agreed in writing:
- A 50% deposit is required before any work commences.
- The remaining balance is due on completion or as per the agreed monthly billing date.
- Monthly retainers are billed at the start of each month and are due within 7 days of invoice.
- All prices are quoted excluding VAT unless stated otherwise.
- Late payments may attract a 5% monthly interest charge on the outstanding balance.

Scope of Work
The scope of work is defined in the quote or proposal document. Any work requested outside of the agreed scope will be treated as a change request and quoted separately before work begins. Rad Lemon is not obligated to deliver work outside the agreed scope without a signed change order.

Revisions & Change Requests
Where a set number of revisions is included, these are defined in the quote. Additional revisions beyond the agreed rounds will be billed at an hourly rate of €85/hour. Change requests must be submitted in writing.

Timelines & Delays
Rad Lemon will make reasonable effort to meet agreed timelines. However, timelines are dependent on timely client input, approvals, and access to required assets. Delays caused by the client may result in revised delivery dates without penalty to Rad Lemon.

Client Responsibilities
The client agrees to:
- Provide all required assets, access, and information in a timely manner.
- Nominate a single point of contact with authority to approve work.
- Respond to requests for feedback or approval within 5 business days.
- Ensure all content and materials provided are legally owned or licensed by the client.

Intellectual Property
Upon receipt of full payment, the client owns all deliverables produced specifically for them under the agreed scope. Rad Lemon retains ownership of any underlying tools, frameworks, templates, or methodologies used in the creation of deliverables. Rad Lemon reserves the right to reference the work in its portfolio unless otherwise agreed in writing.

Confidentiality
Both parties agree to treat any shared business information as confidential and not to disclose it to third parties without prior written consent. This obligation survives termination of the agreement.

Cancellation & Early Termination
- Once-off projects: if the client cancels after work has commenced, the deposit is non-refundable and any work completed beyond the deposit value will be invoiced.
- Monthly retainers: either party may terminate with 30 days written notice. Any work delivered during the notice period remains billable.

Limitation of Liability
Rad Lemon's liability in connection with any services is limited to the total fees paid by the client in the preceding 3 months. Rad Lemon is not liable for indirect or consequential losses, including but not limited to loss of revenue, data, or business opportunity.
Rad Lemon does not guarantee specific outcomes such as search rankings, follower counts, or revenue targets unless explicitly stated as a performance-based agreement.

Data & Privacy
Rad Lemon handles all client data in accordance with applicable data protection laws, including GDPR where relevant. Client data will not be shared with third parties without consent, except where required to deliver agreed services (e.g. analytics platforms, email tools).

Governing Law
These terms are governed by the laws of the Republic of South Africa. Any disputes will be subject to the jurisdiction of the South African courts, unless otherwise agreed in writing for international clients.
